TERMS AND CONDITIONS OF USE OF PMI AMERICAS SERVICES

These Terms of Service (“Terms”) apply to your access to and use of the websites, mobile applications and other online products and services (collectively, the “Services”) of PMI AMERICAS, S.A. de C.V. (“PMI”) and its subsidiaries and affiliates (“Company” or “we” or "us"). These Terms do not alter the terms and conditions of any other agreements you may have with PMI for products, services or otherwise.
PMI reserves the right to change or modify the terms and conditions contained in these Terms or any policy or guideline of the Services, at any time and at its sole discretion. Notice will be provided by posting the revised terms to the Services and changing the “last revised” date at the top of the Terms or by such other means of notice as the Company shall determine from time to time, in its sole discretion. Using a particular form of notice in some cases does not obligate us to use the same form in other cases. Any changes or modifications will be effective immediately upon posting of revisions to the Services, and you waive any right you may have to receive specific notice of such changes or modifications. Your use of these Services will confirm your acceptance of such changes or modifications, so you should frequently review the applicable terms and policies to understand the conditions that apply to your use of the Services. The most current versions of the Terms can be viewed by clicking on the “Terms of Service” hypertext link located at the bottom of our web pages. If you do not agree to the modified Terms, you must stop using the Services.
GLOSSARY OF TERMS USED
“API”. - It refers to “Application Programming Interface” as an access layer to the PMI platform through programming languages.
“Beneficiary”, Individuals or legal entities that receive resources at the instruction of Commerce.
“Merchant”, Individual or legal entity that contracts and operates a business account in PMI for the purpose of instructing, managing and executing payment dispersals on its own account.
In the case of dispersals on behalf of third parties, only legal entities whose activity is the dispersal of payments or the provision of payment solutions to their customers, as well as financial institutions duly regulated in accordance with the applicable regulations, may carry them out.
“Account(s)”, indistinctly the Business Account and/or the Individual Account. It is the individual record that the Platform assigns to each User for the management, control and monitoring of services contracted or used within the system. This account does not constitute a bank account, nor does it involve the collection of resources from the public, but represents an operational and digital instrument through which the User can access, view and manage their operations, available funds, movements, transaction history and other features provided by PMI.
“Business Account”, Refers to the Merchant's account, within the PMI platform, where, among other things, Merchant data is stored.
“Individual account” refers to the account set up by the Beneficiaries of a Business.
“Confidential Information”, refers to all information disclosed between the Parties, whether in verbal, written, electronic and/or any other form, through documents or communications, information stored in written, graphic, sonorous, electromagnetic or in computer or compact disc, telephone, hard discs or any other electronic media, optical or any other technology existing or to exist that may store information delivered by any of the Parties or their affiliates, subsidiaries, as well as their respective officers, directors, employees, shareholders and agents, and former employees and agents, optical or any other existing or future technology that may store information delivered by any of the Parties or their affiliates, subsidiaries, and their respective officers, directors, employees, shareholders and agents and former employees and agents, during the Term, including but not limited to; (i) current and future products and services; (ii) business, plans, strategies and relationships; (iii) existing and prospective customers; (iv) existing and prospective business relationship providers, consultants, suppliers, customers, contractors, business partners, shareholders and the agreements with any of them and their respective business relationships; (v) intellectual property and industrial, commercial or trade secrets, including methodologies and processes, databases; (vi) competitive advantages and disadvantages; (vii) market and financial analysis; (viii) business plans and financial projections; (ix) development activities; (x) personal data of customers, employees, suppliers, as well as Holder Data and other information directly related to this instrument, the Customers and the Parties; (xi) any other information that gives the Parties an opportunity to gain an advantage over any existing or future competitors; and (xii) the very existence of this Agreement and any other information related to the Parties or that becomes available to the other Party during the term of this Agreement.
“Services” means the payment dispersal services provided by PMI pursuant to these Terms and Conditions of Use, including but not limited to: (i) payment dispersal at the instruction of a Merchant; (ii) collection at the instruction of a Merchant; (iii) any other payment solution offered by PMI.
“Service Commission”, is the commission that PMI charges to the TRADER for providing the services. These are agreed commissions depending on the service provided and that have been made known to the TRADE in writing.
“User”, Individuals or legal entities who use or access PMI's “Services”.
PURPOSE AND CONTRACTUAL RELATIONSHIP
(1) By accessing the PMI Site, you agree to be bound by these Terms and Conditions of Use and other PMI Policies. Ignorance of the contents of this document and the Policies does not exempt you from any liability; We recommend that you carefully read the contents of the Terms and Conditions of Use, because when entering, accessing, browsing, using or registering as a Merchant, User or Beneficiary, ALL obligations contained herein shall apply to you.
Such consent shall have the same legal effects as the consent given through a handwritten signature, being admissible as evidence in court under the terms of applicable law. These Terms and Conditions of Use are NOT negotiable and must be complied with by all Merchants, Users or Beneficiaries who contract the services provided by PMI.
(2) By accessing the PMI Site, you agree that PMI may require you to perfect, sign or execute legal documents, such as contracts, acknowledgement of debts, letters of any kind, etc. Furthermore, you agree that if for any unjustifiable reason, you are not willing to perfect such legal documents, PMI may enforce your rights and claims through the courts, being admissible as evidence these Terms and Conditions of Use, as well as all information contained in our databases to evidence the relationship with you and the debts you have, if applicable.
(3) Our Services may only be used by persons of legal age, to access or use the Services you must have full legal capacity to contract, use by minors is strictly prohibited; By accessing the Site you affirm that you are of legal age to contract and in full use of your capacities.
By registering to use the Services, you represent and warrant that you are not registering to use the Services on behalf of a third party, except as agreed to by PMI AMERICAS, and that you have not previously been suspended or removed from the Services. You represent and warrant that you will not use the Services if the law of your country prohibits you from doing so in accordance with these Terms and Conditions.
(4) The Service may only be used for the purposes described in this document; PMI reserves the right to verify your identity, age and legal capacity, as well as to suspend the Service to persons carrying out Unauthorized Activities or unlawful activities.
(5) If you intend to open a business account on behalf of a legal entity, you agree and warrant that you have sufficient legal authority to do so; otherwise, we ask that you refrain from opening the account or ask the authorized person to open the account with us. Take into consideration that we will verify all the legal documentation that accredits him/her as attorney-in-fact or legal representative, so you accept that all the documents that you enter to our system are real, valid and comply with the applicable regulations.
DESCRIPTION OF SERVICES
(1) In order to provide the Services, PMI will provide Merchant with a Business Account. You may sign up for only one Business Account.
(2) The Services provide users with the ability to use their Business Account to send resources, register Beneficiaries and give instructions to make transfers to Beneficiaries.
(3) The Merchant is the only one that will be able to register Beneficiaries through its Business Account, providing the identification information requested by the application.
Once this is done the Beneficiaries will receive a communication from PMI to finalize their registration, and register their Individual Account. All funds in their Business Account will be held on their behalf until the Beneficiary meets all requirements to receive such funds.
(4) All payment instructions to Beneficiaries must have a documented legal relationship between Commerce and the Beneficiaries for the acquisition of goods or services, payment of payroll, or any other valid. Likewise, the resources sent to PMI for transfers must always come from Commerce.
(5) When you register as a Business or Beneficiary, we collect information about you such as name, address, federal taxpayer registry, bank details, e-mail. In your case, name of the company, name of the proxy, address, federal taxpayers registry, bank details, e-mail and telephone. Your registration does not guarantee that the Services will be available to you. PMI reserves the right to validate on its own behalf or on behalf of third parties all the data you provide us.
You also agree to: (a) provide accurate, current and complete information when creating or updating a Business Account or individual Account, (b) keep your Account information current, (c) maintain the security and confidentiality of your login information and restrict access to your Account and your equipment, (d) immediately notify PMI by sending an email to support@pmi-americas.com if you discover or suspect any security breach related to the Services, and (e) assume responsibility for all activities that occur under your Account and accept all risks of unauthorized access.
(6) PMI uses third party services to provide payment dispersal, merchant settlement, collection and related services. By using any or all of these services, you agree to be bound by the terms and conditions and privacy policies of such third parties. By virtue of the foregoing, you consent and authorize PMI to delegate the corresponding authorizations and to share the information you provide with such services and with our Third Party Service Providers, to the extent necessary to provide you with the requested services.
Likewise, you authorize PMI to share such information with its subsidiaries, affiliates and/or companies of the same corporate group, as well as with the suppliers that such subsidiaries or affiliates hire for the provision of services, to the extent necessary for the proper execution, operation and fulfillment of the contracted services.
(7) You agree that once you are registered as a Merchant or Beneficiary you may request the Account Activation to our technical support area at support@pmi-americas.com. .
(8) PMI may request additional information from you in order to validate your identity, truthfulness of the information, lawfulness of the activity you wish to perform, and other administrative information. Among the information we will collect is the following: In case you are an individual: Official identification, proof of address, RFC, CURP, bank statement, source of funds. In case of a legal entity: Articles of Incorporation, Minutes of Assembly where there are changes to statutes or legal representatives, Power of Attorney of the legal representative, Official Identification of the legal representative, Proof of Address, RFC and Bank Statement Cover Sheet, Shareholders' Information and IDs as well as the Origin of Funds.
(9) All information provided by Users will be kept confidential and will be subject to the Privacy Notice published on our website; by submitting an Activation request you acknowledge and agree that you have legal standing to represent the Merchant or Beneficiary, you also acknowledge and agree that PMI may request additional information to prove it, including requesting original documents.
(10) You agree and acknowledge that PMI will use its best efforts to validate that all documentation submitted is accurate, however, we are not responsible if the documentation is untrue or inaccurate.
(11) In the case of bank account information, the BENEFICIARY is obliged to provide the information of the account of which he/she is the holder, PMI will deposit the funds only to the account provided by the Beneficiaries, therefore we are not responsible if the account provided is incorrect or if due to fraud or bad faith, the person who requested the Activation provided information different from that of the Beneficiaries.
(12) Our priority is to be efficient in the set up of our customers, however, you must understand that activating a Business Account involves a thorough analysis. Your security is our priority, we have no guarantee of a minimum response time for account activation, however, our average response time to activate a new account once your documentation is complete, your contract is signed (if applicable) and legal, technical, administrative and fiscal validation is 5 business days; once we send you an email that your account has been accepted, you will be able to access the Business Account functions.
(13) You agree that PMI reserves the right to deny a Business Account and you agree that we have no obligation to give you any explanation or reason why your account was denied. Regardless of whether your account has been activated, PMI reserves the right to deny the use of any Service.
(14) You agree that PMI provides a username and password per Trade, Business or User to access the Service through the PMI Platform, you agree that your username is a non-transferable and revocable right. Users may at any time cancel their username, however, upon cancellation, all outstanding obligations to PMI shall survive. It is your responsibility to keep the credentials (username and password) and API keys (if any). You agree and agree to be responsible for the activities performed on your account, any charge or movement made with keys through the API or credentials PMI Platform, will be considered as made by you and you will be responsible for all legal and financial effects. We recommend that the passwords you use have restricted access and are not shared with third parties.
(15) Users shall not use the Services to engage in activities prohibited by law, such as but not limited to: (i) money laundering; (ii) terrorist financing; (iii) bribery; or any other illegal activity.
(16) Once the Merchant has requested a payment for a Payee, the Payee agrees that PMI may take up to 5 business days to make the payment.
(17) PMI may, in its sole discretion: (i) refuse to process Transactions to specific Beneficiaries; (ii) limit or restrict Transactions to a minimum amount; (iii) impose limits on the amount or number of Transactions that may be made; (iv) request additional validation information from Beneficiaries; (v) refuse to process Transactions to Beneficiaries with a prior history of questionable actions.
COMMISSIONS
(1) PMI charges a Service fee consisting of a percentage that varies according to the Service provided (the “Commission”).
(2) PMI reserves the right to modify the Commissions.
USER STATEMENTS
(1) Users warrant that the economic resources used come and will continue to come from legal sources and will be used to carry out activities permitted by law at all times, without prejudice to PMI may at any time verify the origin of the resources and, in case of finding any irregularity, shall proceed to take the legal actions that may take place, including, among others, the present notices before the respective authorities, as well as immediately cancel the Account in question, in which case the Merchant shall be obliged to indemnify and hold PMI and/or other users harmless from any damage, prejudice, claim and/or action that such violation may cause.
(2) Users of the Services shall at all times refrain from (i) making unauthorized or fraudulent use of the Services; (ii) accessing or attempting to access restricted resources of the PMI Platform; (iii) using the PMI Platform for purposes that are detrimental to the rights and interests of third parties, or that in any way may damage, disable, overburden or impair its ordinary use; (iv) cause damage to PMI's software or the systems of its suppliers or third parties; (v) introduce or disseminate computer viruses or any other physical or logical system that may damage or spoil the software;
(vi) attempt to access, use and/or manipulate the data and/or contents of the PMI Platform;
(vii) reproduce or copy, distribute or allow public access, through any form of public communication, to transform and/or modify the contents of the PMI Platform.
(3) Users agree, warrant and undertake to hold us harmless for any claim by any third party under the contractual relationship they enter into with you and the payments they make through the Services and no such claim shall be directed to PMI. PMI reserves the right to suspend service for issues related to this subsection.
(4) You agree to defend, indemnify and hold harmless PMI, its independent contractors, service providers and consultants, and their respective directors, employees and agents, from and against any and all claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services, (b) any User Content or feedback you provide, (c) your violation of these Terms, (d) your violation of any rights of another, or (e) your conduct in connection with the Services.

(1) Visit our Privacy Notice by clicking on the “Legal Notices” hypertext link located at the bottom of our web page for information about how PMI collects, uses and discloses personally identifiable information from its users.
INTELLECTUAL PROPERTY
Unless otherwise indicated on the Services, the Services and all content and other materials on the Services, including, without limitation, the PMI logo and all designs, text, graphics, images, information, data, software, sound files, other files and their selection and arrangement (collectively, “PMI Materials“) are the exclusive property of PMI or its licensors and are protected by Mexican and international intellectual property protection laws.
You are granted a limited, non-sublicensable license to access and use PMI Services and content, subject to these Terms.
Except as expressly authorized in the Services, in these Terms or by prior written authorization from PMI, the license granted does not include, nor does it confer any right to:
(a) the resale, sublicensing or any form of commercial exploitation of the Services or Content owned by PMI;
(b) the distribution, public communication, making available, transmission, exhibition or any other form of dissemination of the Contents of PMI;
(c) the modification, adaptation, transformation, translation, compilation, decompilation, reverse engineering or creation of derivative works based on the Services, PMI Content or any elements thereof;
(d) the performance of any act aimed at obtaining, registering, protecting, claiming or exercising industrial, intellectual or any other kind of property rights with respect to the PMI Platform or any of its associated or linked elements, including, but not limited to, trademarks, trade names, trade notices, domain names, e-mail addresses or other distinctive signs used by PMI;
(e) the use of data mining techniques, web scraping, robots, bots or any other automated mechanisms for the extraction, collection or indexing of information;
(f) the unauthorized downloading, reproduction or storage of all or any part of the Services, PMI Content or information contained therein; or
(g) any use of PMI's Services or Content other than as expressly authorized and in accordance with its legitimate purpose.
(h) Any use of the Services or PMI Content not specifically authorized herein, without the prior written permission of PMI.
Unauthorized use may violate applicable laws, including, without limitation, copyright, industrial property, personal data and other applicable regulations. The license granted is revocable at any time.
LIMITS TO LIABILITY
(1) PMI does not warrant that its services or content will be uninterrupted or error-free. Nor does PMI make any warranties, express or implied, about the services, information or materials available on its site.
Although PMI attempts to make access to and use of its services secure, it cannot ensure that the website or its servers are free of viruses or other harmful elements. Therefore, you should use reliable anti-virus software to check and clean any files you download.
(2) PMI reserves the right to modify any and all content on the Services at any time without notice.
(3) Reference to any product, service, process or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by PMI.
Limit of Liability
(1) PMI, its directors, employees or representatives shall not be liable for any damages of any kind - whether direct, indirect or otherwise - resulting from the use of or inability to use its services or content.
This includes damages caused by errors, omissions, interruptions, deletion of files or e-mails, defects, viruses, delays in operation or transmission, technical failures, natural disasters, communication problems, theft, destruction or unauthorized access to systems or data.
(2) In any event, PMI's total liability, regardless of the type of claim (contract, warranty or otherwise), shall not exceed the amount the user has paid, if any, to access or use the services.
MODIFICATIONS TO SERVICES
(1) PMI reserves the right to modify or discontinue, temporarily or permanently, the Services or any features or portions thereof without notice. You agree that PMI shall not be liable for any modification, suspension or discontinuance of the Services or any part thereof.
APPLICABLE LAW AND JURISDICTION
(1) These Terms and your use of the Services shall be governed by and construed in accordance with the laws of Mexico City, without resort to conflict of law provisions.
TERMINATION AND SUSPENSION
(1) Notwithstanding any of these Terms, PMI reserves the right, without notice and in its sole discretion, to terminate or suspend your right to use the Services, and to block or prevent your future access to, and use of, the Services.
SEPARATION
(1) If any provision of these Conditions shall be deemed unlawful, void or for any reason unenforceable, such provision shall be deemed severable from these Conditions and shall not affect the validity and enforceability of any remaining provisions.
